These Terms and Conditions ("Terms", "Terms and Conditions") constitute a legally binding agreement made between you ("user", "you") and Zambezi Digital ("Company", "we", "us", or "our"), concerning your access to and use of the Digital Finance software (the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Service.

1. Acceptance of Terms

By creating an account and using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, including any future modifications.

2. Eligibility

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

The Service may contain message boards, chat rooms, personal web pages or profiles, forums, bulletin boards, and other interactive features (collectively, "Interactive Services") that allow users to post, submit, publish, display, or transmit to other users or other persons (hereinafter, "post") content or materials (collectively, "User Contributions").

10. Integration with Smart Invoicing

The Service integrates with smart invoicing features. By using these features, you agree to comply with any additional terms and conditions applicable to such features.

Available Smart Invoice Solutions and Eligibility Requirements:

  1. Smart Invoice Desktop and Tablet Application: This type of solution is a software application that is installed on a Windows-based desktop computer, laptop, or tablet. It enables users to create, customize, and manage transactions locally on their own devices. Suitable for all taxpayers except those with accounting packages. Supported on Windows 10 or higher. Digital Finance falls under this category, though it is also accessible online via a browser.
  2. Smart Invoice Mobile Application: A software application that can be installed on an Android-based mobile phone, tablet, or Personal Digital Assistant (PDA). Suitable for taxpayers on Turnover Tax only and not those registered for Value Added Tax (VAT). Requires a device running on Android 8 or higher.
  3. Online Smart Invoice: An invoicing platform accessed through a web browser or an online portal. Suitable for taxpayers in the service industry who issue few invoices.
  4. Certified Invoicing Systems: Systems integrated with Smart Invoice after certification. Suitable for taxpayers with Accounting Packages or Enterprise Resource Planning Systems. Integration is achieved through an interface with the Virtual Sales Data Controller (VSDC), which bridges the Certified Invoicing System (CIS) and the ZRA Smart Invoice System.

How to Acquire Smart Invoice System:

Digital Finance offers subscription plans. We reserve the right to change our subscription plans or adjust pricing for our Service at our sole discretion. If we make changes to our subscription plans or pricing, we will provide notice of such changes:

We store user data, including financial information, which is only accessible to the tenant. Tenants have the option to store their own data locally, provided that we can access their machine to make the data available online.

13. Data Security and Integrity

We will use commercially reasonable efforts to maintain the security and integrity of user data. However, you acknowledge and agree that we cannot guarantee absolute security against all threats. Therefore, we shall not be held unreasonably liable for any unauthorized access, disclosure, alteration, or destruction of user data.

By using the Service, you agree to the following finance-related terms:

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

17. Limitation of Liability

In no event shall Zambezi Digital, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the Service; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the Service; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Service by any third party; and/or (v) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Service.

These Terms shall be governed and construed in accordance with the laws of Zambia, without regard to its conflict of law provisions.

19. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

Medical Tracking System
